Terms of Service

Introduction

These terms constitute a legal agreement between you and Vibeticketing ("Vibeticketing," "we," "us," or "our"). Your use of vibeticketing.com (the "Site") and the services made available on the Site (the "Services") is subject to these Terms of Service (these "Terms"). By using the Site and any of our Services, you:

Acknowledge that you have read and understood these Terms;
Agree to be bound by these Terms;
Agree to our Privacy Policy; and
Commit to comply with all applicable laws and regulations.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

We may revise these Terms at any time by posting updated terms on the Site or providing you with notice. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.

Definitions

When we use the following terms in these Terms, here's what we mean:

"AI Gateway": means our optional managed API service that lets you access third-party artificial intelligence models (for example, OpenAI) through our infrastructure for event generation and content creation.
"Credits": means the prepaid, non-refundable, non-redeemable units you purchase or receive to use the Services. Credits are consumed as you use the Platform, AI Gateway, or other usage-based features for event generation, edits, SEO optimization, image generation, and ticket creation.
"Customer Data": means any content, code, text, images, files, event information, ticket data, or other data that you input, upload, submit, host, or generate through the Services, including events you create using the Platform. Customer Data does not include Usage Data or Vibeticketing Materials.
"Free Credits": means promotional or trial credits we grant you (for example, 5 free credits upon signup).
"Ticketing Platform(s)": means third-party ticketing and event management platforms that you can connect to through our Services (for example, TicketLime, Eventbrite, Ticketmaster, Humanitix, TryBooking, Moshtix, or WeezEvent).
"Vibeticketing Materials": means the Platform, the Services, the Site, and all related software, technology, documentation, tools, templates, algorithms, models, interfaces, content, and other materials that we develop, provide, or make available, together with all improvements, modifications, and derivative works. Vibeticketing Materials do not include your Customer Data.
"Personally Identifiable Information" or "PII": means any information that identifies, relates to, describes, or could reasonably be linked to a specific individual.
"Platform": means our software platform, accessible through the Site, that lets you create events, generate event content, and manage ticket sales by interacting with artificial intelligence.
"Services": means the Platform and all related features, tools, modules, integrations, and support services we make available to you under these Terms, including, where applicable, the AI Gateway and integrations with Ticketing Platforms.
"Site": means vibeticketing.com and any associated domains or subdomains we control.
"Third-Party AI Provider(s)": means external providers of artificial intelligence models or related services that you can access through the AI Gateway (for example, OpenAI).
"Usage Data": means telemetry, logs, performance data, usage metrics, and other technical data generated by or in connection with your use of the Services. Usage Data does not include Customer Data or PII.

License to Use Our Services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, as permitted by your subscription plan. This license does not give you any ownership interest in the Services or Vibeticketing Materials, and all rights not expressly granted are reserved by us. This license terminates immediately if you violate these Terms or your account is terminated for any reason.

License Restrictions

You agree not to, and not to allow others to:

copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Services or Vibeticketing Materials except as expressly permitted in these Terms;
resell, provide, or make the Services available to any third party on a service bureau or time-sharing basis;
share your account credentials or allow unauthorized access to your account;
reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, models, or algorithms underlying the Services;
bypass or disable any security, usage, or access controls;
use automated tools (such as bots, scrapers, or crawlers) to access or interact with the Services without our written permission;
upload, transmit, or distribute any malicious code, viruses, or harmful content;
overload, disrupt, or interfere with the normal operation of the Services;
use the Services to harass, defame, impersonate, or otherwise harm others;
use the Services in violation of applicable laws, regulations, export controls, or sanctions;
use the Services to generate or disseminate harmful, misleading, unlawful, or infringing content;
misrepresent AI-generated content as human-generated in contexts where it could cause harm or deception;
use AI-generated content without appropriate review in high-risk or sensitive contexts (including medical, legal, financial, or safety-critical uses);
extract, reconstruct, or attempt to determine model weights, training data, or system logic;
use the Services, AI Output, or prompts to train, develop, or improve competing AI models;
create events or content that violate intellectual property rights, including unauthorized use of trademarks, copyrighted material, or proprietary information;
use the Services to create events that promote illegal activities, hate speech, discrimination, or violence.

Suspension and Termination for Breach

We may suspend or terminate your account, access to the Services, or any portion of them immediately if we reasonably believe you have violated these Terms (including the License Restrictions above) or engaged in fraudulent, abusive, or unlawful activity. Suspension or termination does not limit any other remedies available to us under law or equity, and you remain responsible for all fees and charges incurred up to the date of suspension or termination.

Billing & Payments

Credits System

Vibeticketing uses a credit-based system for accessing AI-powered features. Credits are consumed when you:

Generate a complete event using AI (1 credit)
Apply small edits to events (0.5 credits)
Regenerate event images (0.5 credits)
Generate or optimize SEO content (0.25 credits)
Create tickets or merchandise (varies by complexity)

Free Plan

Upon signup, we grant you 5 free credits to get started. Free credits are promotional and subject to the same terms as purchased credits. You cannot use credits to go below zero balance. If you attempt to use a feature that would result in a negative balance, the action will be blocked and you will receive a message: "You've reached your free AI limit. Purchase more credits to continue."

Purchased Credits

You may purchase additional credits through the Site. Credits are prepaid, non-refundable, and non-redeemable for cash. Credits do not expire unless your account is terminated. Credit prices and packages are displayed on the Site and may change from time to time.

Credit Deduction

Credits are deducted from your account balance before the AI generation process begins. If a generation fails due to an API error, system error, or other technical issue not caused by you, we will refund the deducted credits to your account. Credits are rounded to two decimal places for fractional operations.

Payment Processing

All payments are processed through secure third-party payment processors. By purchasing credits, you agree to the payment processor's terms and conditions. We do not store your full payment card information.

Ticketing Platform Integrations

Vibeticketing integrates with various third-party ticketing platforms (Ticketing Platforms) to enable you to publish and sell tickets for your events. When you connect to a Ticketing Platform:

You are responsible for maintaining your account credentials and access to the Ticketing Platform;
You agree to comply with the Ticketing Platform's terms of service and policies;
We act as an intermediary to facilitate event creation and data transfer, but we are not responsible for the Ticketing Platform's services, fees, or policies;
Any fees charged by the Ticketing Platform (such as transaction fees or service fees) are separate from our fees and are your responsibility;
We are not liable for any issues, errors, or disputes arising from your use of Ticketing Platform services;
You grant us permission to access and transfer your event data to the Ticketing Platform on your behalf.

Currently, TicketLime integration is available. Other Ticketing Platforms may be marked as "Coming Soon" and will become available as we complete integrations. We do not guarantee when or if specific Ticketing Platforms will become available.

Customer Data and Intellectual Property

Your Content

You retain all ownership rights in your Customer Data. By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit your Customer Data solely to provide, maintain, and improve the Services. This license includes the right to share your Customer Data with Ticketing Platforms when you choose to publish events.

AI-Generated Content

Content generated by our AI services (including event descriptions, titles, images, and other content) is provided "as is" and may not be unique. We do not guarantee that AI-generated content will be original, error-free, or suitable for your intended use. You are responsible for reviewing, editing, and ensuring the accuracy and appropriateness of all AI-generated content before publishing or using it.

Our Intellectual Property

The Services, Vibeticketing Materials, and all related intellectual property rights are owned by us or our licensors. You may not use our trademarks, logos, or branding without our prior written consent.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our Privacy Policy.

We implement reasonable security measures to protect your Customer Data, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that AI-generated content will be accurate, complete, or suitable for your purposes. You assume all risk associated with your use of the Services and AI-generated content.

We are not responsible for the availability, performance, or policies of Ticketing Platforms or Third-Party AI Providers. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. THIS LIMITATION DOES NOT APPLY TO LIABILITY ARISING FROM OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Vibeticketing, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

your use of the Services;
your Customer Data;
your violation of these Terms;
your violation of any third-party rights, including intellectual property rights or privacy rights;
your use of AI-generated content in violation of applicable laws or regulations;
your connection to or use of Ticketing Platforms.

Term and Termination

These Terms begin when you first accept them or start using the Services and continue until terminated.

You may terminate your account and stop using the Services at any time through your account settings or by contacting us.

We may terminate your account or access to the Services for convenience by providing you with advance notice, or as otherwise provided in the "Suspension and Termination for Breach" section. We may also discontinue or modify the Services in whole or in part at any time by providing you with advance notice.

Upon termination, your right to access the Services ends immediately. You remain responsible for all fees and charges incurred up to the date of termination. Any unused Credits are forfeited and non-refundable, except as required by applicable law.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them, the Services, or your use of the Services will be governed by and construed under the laws of Australia and the State of New South Wales, without regard to its conflict of law principles.

Australian Consumer Law: If you are an Australian consumer, you may have rights under the Australian Consumer Law (ACL) contained in Schedule 2 of the Competition and Consumer Act 2010 (Cth). Nothing in these Terms excludes, restricts, or modifies any rights you may have under the ACL that cannot be excluded, restricted, or modified. Our Services come with guarantees that cannot be excluded under the ACL, including guarantees as to acceptable quality and fitness for purpose.

Dispute Resolution: If you are an Australian resident and have a dispute with us, you agree to first contact us at [email protected] to attempt to resolve the dispute. If we cannot resolve the dispute within 30 days, you may refer the dispute to the Australian Competition and Consumer Commission (ACCC) or your local consumer protection agency. For disputes not covered by consumer protection laws, you agree that any legal proceedings will be brought exclusively in the courts of New South Wales, Australia.

Any dispute with us must be brought on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding, except where such waiver is not permitted under Australian law.

Our failure to enforce any right or provision in these Terms will not be considered a waiver of those rights. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Eligibility

You may use the Services only if you are at least eighteen (18) years old or the age of majority in your jurisdiction and have the legal capacity to enter into a binding contract. The Services are not intended for individuals under the age of eighteen (18), and we do not knowingly collect or solicit personal data from anyone under this age. If we discover that we have collected personal data from a minor without verifiable parental consent, we will promptly delete that information.

By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a company or other entity, you further represent that you have authority to bind that entity to these Terms.

DMCA Compliance

We respect intellectual property rights and comply with the Digital Millennium Copyright Act ("DMCA"). If you believe your copyrighted work has been copied and made available through the Services in a way that constitutes infringement, please send a written notice to our designated agent with the following information:

Identification of the copyrighted work claimed to have been infringed;
Identification of the material that is claimed to be infringing, and information reasonably sufficient to permit us to locate the material;
Your contact information, including name, address, phone number, and email address;
A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;
A statement that the information in the notice is accurate, and under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the owner; and
Your physical or electronic signature.

Miscellaneous

Entire Agreement

These Terms are the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings (whether written or oral) relating to the Services.

Assignment

You may not assign, delegate, or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign, delegate, or transfer these Terms, in whole or in part, without restriction.

Export Controls and Sanctions

You may not use the Services if you are located in, or acting on behalf of a person or entity located in, a country or territory that is subject to applicable government embargoes or sanctions, or if you are on any government list of restricted or prohibited parties. You represent and warrant that you are not subject to such restrictions.

Beta or Experimental Features

From time to time, we may make features available that are identified as beta, preview, or experimental. Such features may be incomplete, may change at any time, and may be discontinued without notice. They are provided "as is," without warranties of any kind, and may be subject to additional terms.
